These Terms of Service (the "Terms" or the "Agreement") are a binding legal agreement between you ("you") and UsePools ("UsePools," "we," "us," or "our"). They govern your access to and use of the UseStrategy.fun website, any related subdomains, interfaces, smart contracts, tools, and other products or services we make available (collectively, the "Services").

By accessing or using the Services, connecting a digital wallet, or initiating any transaction through the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately and permanently discontinue your use of the Services.

1. Binding Agreement and Scope of Services

UseStrategy.fun is a technology service provider building experimental, non-custodial tools for on-chain markets and decentralized strategies involving digital assets and NFTs. The Services may allow you to view, deploy, or interact with smart contracts and autonomous on-chain mechanisms ("Strategies") using your own digital wallet. You remain solely responsible for any activity conducted through your wallet and for understanding how any Strategy or smart contract you interact with operates.

2. Modifications to the Terms and Services

We may update or modify these Terms or any aspect of the Services at any time in our sole discretion. When we do so, we will update the "Last Updated" date above. By continuing to access or use the Services after any changes become effective, you agree to the revised Terms. It is your responsibility to review these Terms periodically.

In the event of any conflict between these Terms and the operation of publicly deployed smart contracts, the on-chain smart contract code will control. Before submitting any transaction, you are solely responsible for reviewing and confirming the details within your wallet interface.

3. Eligibility and Legal Capacity

You represent and warrant that you have the right, authority, and legal capacity to enter into this Agreement on your own behalf and on behalf of any entity or wallet you use to access the Services. You must be of legal age in your jurisdiction (and at least 13 years old) to use the Services. If you access the Services on behalf of an organization or other third party, you represent that you are authorized to bind that third party to these Terms.

4. Your Responsibilities and Compliance

You are solely responsible for determining and fulfilling any legal, regulatory, or tax obligations that apply to your use of the Services, including under the laws of Panama or any other jurisdiction that may apply to you. Nothing in the Services constitutes legal, tax, or investment advice. You agree not to use the Services in any manner that violates applicable laws, regulations, sanctions, or third-party rights.

5. Data Privacy and Transparency

Interactions with the Services may involve transactions on public blockchains. By using the Services, you understand that your wallet address, transaction data, and related on-chain activity may be publicly viewable, permanent, and beyond our control to modify or delete. We do not control and cannot remove data recorded on public blockchains.

6. Experimental Technologies and Assumption of Risk

The Services rely on experimental technologies, including public blockchains, autonomous smart contracts, third-party protocols, and NFT marketplaces that are not operated or controlled by UsePools. These technologies carry significant risks, including without limitation smart-contract bugs, exploits, network congestion, front‑running and MEV, malicious actors, regulatory changes, and extreme market volatility.

You acknowledge and agree that:

  • All blockchain transactions are final, irreversible, and may be publicly visible.
  • Gas fees are set by the underlying network, not by UsePools, and may be volatile or unexpectedly high.
  • Strategies or smart contracts may not perform as expected and may result in partial or total loss of digital assets.

You assume full responsibility for all risks associated with your use of the Services and any Strategies you deploy or interact with.

7. No Custody; No Financial, Investment, or Trading Advice

UsePools does not take custody of or control your digital assets. You remain in control of your private keys and wallets at all times. Nothing in the Services, on the Site, or in any communication from UsePools constitutes financial, investment, legal, or tax advice. You should not interpret any content as a recommendation to buy, sell, or hold any asset or to use any Strategy. You should conduct your own research and, if needed, consult independent professional advisors.

8. Limitation of Liability

To the maximum extent permitted by applicable law, the Services are provided on an "AS IS" and "AS AVAILABLE" basis, without any warranties of any kind, whether express or implied. UsePools and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or in connection with the Services or these Terms.

In no event shall the aggregate liability of UsePools in connection with the Services exceed the lesser of (a) one hundred U.S. dollars (USD $100) or (b) the amount you have paid directly to UsePools, if any, for the specific Service giving rise to the claim.

9. Dispute Resolution, Governing Law, and Jurisdiction

These Terms and your use of the Services are governed by and construed in accordance with the laws of the Republic of Panama, without regard to its conflict-of-law rules.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Services shall be finally resolved by binding arbitration, conducted on an individual basis, seated in Panama City, Panama, and administered by a recognized arbitration institution under its applicable rules. You and UsePools each waive any right to a jury trial or to participate in a class, collective, or representative action.

10. Miscellaneous

These Terms constitute the entire agreement between you and UsePools regarding your use of the Services and supersede any prior or contemporaneous agreements on that subject. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision.
